SUNNYVALE, CA – April 13, 2005 – Spansion, the flash memory venture of AMD (NYSE:AMD) and Fujitsu (TSE:6702), today announced it has filed a registration statement with the Securities and Exchange Commission for a proposed initial public offering of its class A common stock. The number of shares to be offered and the estimated price range for the common stock have not been determined.

A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective.
